The Users use of each such site is also subject to these Terms of Use and other terms of use, if any, contained within each such site. In the event that any of the Terms contained herein conflict with the terms of use contained within any such site, then the terms of use for such site shall prevail. The linked Sites are not under the control of Ikigai Portfolio and Ikigai Portfolio is not responsible for the contents of any linked Site or any link contained in a linked Site, or any changes or updates to such sites. Ikigai Portfolio will not directly or indirectly be liable for any loss that may arise to the User as a result of his accessing the linked Sites.

Profiles created and posted by Members on the Website may contain links to other websites. Ikigai Portfolio is not responsible for the content, intellectual property rights, accuracy or opinions expressed on such websites. Inclusion of any linked website on the Ikigai Portfolio services does not imply approval or endorsement of the linked website by Ikigai Portfolio. When a User accesses these third-party sites, they do so at their own risk. 

Users may create links to this Website on the basis that they link to, but do not replicate, this Website, and subject to the following conditions:

1. Users do not remove, distort or otherwise alter the appearance of the Ikigai Portfolio logo;
2. Users do not create a frame or any other browser or border environment around this Website;
3. Users do not in any way imply that Ikigai Portfolio is endorsing any products or services other than its own;
4. Users do not misrepresent their relationship with Ikigai Portfolio nor present any other false information about Ikigai Portfolio;
5. Users do not link from a website that is not owned by them; and
6. User website does not contain content that is distasteful, offensive, infringes any intellectual property rights or other rights of any other person, or otherwise does not comply with all applicable laws and regulations 

1. Access Restriction/Fees
   
   Ikigai Portfolio reserves the right to deny, at its sole discretion, any User access to this Web Site or any portion thereof without notice or justification. Further Ikigai Portfolio reserves the right at any time to charge fees for access to any service provided by it. It shall put up a notice to this effect with necessary details at the relevant point of time.

Ikigai Portfolio can use its absolute discretion to refuse any User access to its Services and / or cancel / terminate their membership without prior notice for any reason and such User shall not be entitled to any compensation in respect of cancellation / termination of their membership.

1. Limits on Personal and Non-Commercial Use
   
   The User expressly agrees to use the Service strictly for personal purpose. The User shall not recompile, disassemble, copy, modify, distribute, transmit, display, perform, reproduce, publish or create derivative works from, transfer, or sell any information, software, products, tools or services accessed from this web site. The User may not rent, lease, sell, sublicense, lend or in any manner allow any other party to use the Service, with or without consideration.

Users agree to use the website only for lawful purposes, and in a manner which does not infringe the rights, or restrict, or inhibit the use and enjoyment of the website by any third party. Appropriate legal action will be taken for any illegal or unauthorised use of Ikigai Portfolio Services.

The services of Ikigai Portfolio may not be used in connection with any commercial endeavours except those that are specifically endorsed or approved by Ikigai Portfolio. Illegal and/or unauthorised use of its Services, including collecting usernames and/or email addresses of other users by electronic or other means for the purpose of sending unsolicited email or unauthorised framing of the Website, is prohibited.

Unauthorised commercial advertisements, affiliate links and other forms of solicitation may be removed from User profiles without notice and may result in termination of Membership privileges.

Users shall not use the account created on Ikigai Portfolio by another user, or disclose their account details to any third party. Users are prohibited from selling, trading or otherwise transferring their Ikigai Portfolio account to another party. Users agree to notify Ikigai Portfolio immediately if they suspect any unauthorised access or use of their account or any other breach of security. Users are solely responsible for any and all use of their account. Users are responsible for maintaining the confidentiality of their account, and are fully responsible for all activities that occur under their account. Ikigai Portfolio cannot and will not be liable for any loss or damage arising from any Users’ failure to comply with this section.

• Prohibited Activity

Users agree to act in a responsible and legal manner when using the Ikigai Portfolio Services. Users shall comply with all applicable laws, regulations and rules and undertake not to use the services for any unlawful purpose, for the commission of any offence or crime under the laws of any jurisdiction to which access is obtained through the Website or in a manner which is likely to cause harm, offence or nuisance to any other internet user. 

Users agree not to use the Ikigai Portfolio Services to

1. post content that is patently offensive and promotes racism, bigotry, hatred or harm of any kind against any group or individual;
2. post content that contains violence, or offensive subject matter or contains a link to an adult website;
3. post or promote information that they know is false or misleading or promotes illegal activities or conduct that is abusive, threatening, obscene, defamatory or libellous;
4. post content or initiate communications which are unlawful, libellous, abusive, obscene, discriminatory or otherwise objectionable;
5. post content that furthers or promotes any criminal activity or enterprise or provides instructional information about illegal activities including, but not limited to, making or buying illegal weapons, violating someones privacy or providing or creating computer viruses;
6. create a false identity on the website, impersonate any person or entity or falsely state or otherwise misrepresent yourself, your name, your age or your affiliation with any person or entity;
7. use the Ikigai Portfolio services for any illegal purpose, criminal or tortious activity, including but not limited to child pornography, fraud, trafficking in obscene material, drug dealing, gambling, harassment, stalking, spamming, sending of viruses or other harmful files, copyright infringement, patent infringement or theft of trade secrets;
8. upload, post, email, transmit or otherwise make available any content or initiate communications which include information that you do not have the right to disclose or make available under any law or under contractual or other relationships (such as proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements) or which infringes any intellectual property rights;
9. upload, post, email, transmit or otherwise make available any unsolicited or unauthorised advertising, promotional materials, junk mail, spam, chain letters, pyramid schemes or any other form of solicitation. This prohibition includes but is not limited to:

• using Ikigai Portfolio invitations to send messages to people who do not know you or who are unlikely to recognize you as a known contact;
• using Ikigai Portfolio to connect to people who do not know you and then sending unsolicited promotional messages to those direct connections without their permission; and
• sending messages to distribution lists, newsgroups or groups;

1. upload, post, email, transmit or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
2. disguise the origin of any communication transmitted through this website or using the Ikigai Portfolio Services;
3. interfere with or disrupt the Ikigai Portfolio services or servers or networks connected to this Website and/or Ikigai portfolio service, or disobey any requirements, procedures, policies or regulations of networks connected to this website and/or the Ikigai Portfolio services.
4. display on the website, distribute from the website or provide links from the website to any

pornographic, obscene, offensive or menacing materials;

1. display on the website or use in connection with the website any pirated software or any copyrighted materials or counterfeit materials without the permission of the copyright holder;
2. use information obtained in connection with its registration with the website, or in any way use the website, to carry out unsolicited mail-bombing or spamming or cause annoyance, inconvenience or anxiety to other Internet users;
3. display on the website or use in connection with the website any materials which in any way infringe the copyright, other intellectual property rights or proprietary rights of a third party or which may otherwise render Ikigai Portfolio liable to the payment of damages to any third party.

1. Privacy
   
   Use of the Ikigai Portfolio services is also governed by our Privacy Policy, which is incorporated into these Terms by this reference. Without limitation of the terms and conditions set forth in Ikigai Portfolio’s Privacy Policy, the User represents that s/he is aware that in the process of subscribing to the Service or parts of it, Ikigai Portfolio may obtain information relating to the User, including that of a confidential nature. This information will be used by Ikigai Portfolio for its internal purposes and will be kept confidential. Notwithstanding anything contained above, Ikigai Portfolio reserves the right to disclose personal information where it believes in good faith that such disclosure is required by law, to perform necessary credit checks or collect or report debts owed to Ikigai Portfolio, to protect Ikigai Portfolios rights or property, enforce these Terms or protect the rights, property or safety of Ikigai Portfolio, its Users and the public or for other bonafide uses. The User agrees and warrants that all information that Ikigai Portfolio may possess or may obtain pursuant to the use of Service has been possessed or obtained with the permission of the User.
    
2. Modification of these terms and conditions
   
   Ikigai Portfolio reserves the right to change, without notice, these Terms of Use under which the Service is offered. The Users continued use of the Service will be subject to the Terms of Use in force at the time of the Use. The User agrees to be bound to any changes to these terms when they use the Ikigai Portfolio services after any such modification is posted on the platform. It is therefore important that the User reviews these Terms regularly to ensure that they are updated as to any changes.
   
   
3. Indemnification
   
   By accepting these terms, the User agrees to indemnify, defend and hold harmless Ikigai Portfolio, its officers, directors, employees, representatives and agents, subsidiaries, affiliates and other partners, any third party providers, distributors from and against any direct, indirect, incidental, special, consequential or exemplary damages or cause of action, claim or demand, including without limitation any reasonable legal, accounting or other professional fees, brought by or on the users behalf in excess of the liability described herein or by / on account of a third party due to or arising out of Users use of this Web site, the Service contained herein, the violation of any intellectual property or any other right of any person or entity, unauthorised access to or alteration of the User’s communications with or through the Ikigai Portfolio services or any other matter relating to the Ikigai Portfolio services. Any business transactions which may arise between Users from their use of the Ikigai Portfolio services are the sole responsibility of the Users involved.
    
4. Limitation of liability
   
   The User agrees that neither Ikigai Portfolio nor its directors or employees shall be liable for any direct, indirect, incidental, special or consequential damages, resulting from the use/delivery/performance or the inability to use/deliver/perform the Service or for cost of procurement of substitute goods and repair & correction services or resulting from the Services subscribed to or obtained or messages received or transactions entered into through or of Users transmissions or data, even if Ikigai Portfolio or its employees have been advised of the possibility of such damages.
   The User further agrees that Ikigai Portfolio shall not be liable for any damages arising from interruption, suspension or termination of Service, whether such interruption, suspension or termination was justified or not, negligent or intentional, inadvertent or advertent
   The User also agrees that his sole remedy under this Terms of Use is cancellation of the Service.

• Content

While using the service of the Ikigai Portfolio website certain information provided by the User may be visible to certain other users (see our Privacy Policy to learn more about information collected on this Website and our uses of such information).

Users agree that by providing materials (e.g. photos, video etc.) and information on the platform or by providing material to Ikigai Portfolio you are granting to Ikigai Portfolio a worldwide, royalty-free, perpetual, irrevocable, transferable licence to use all such materials and information in the course of offering Ikigai Portfolio services. Furthermore, Users understand that Ikigai Portfolio retains the right to reformat, excerpt or translate any materials and information submitted by Users. Users waive any and all moral rights that may subsist in any materials and information that the Users provide to Ikigai Portfolio.

Users represent and warrant that:

1. Users own the materials and information posted by them on or through the Ikigai Portfolio Services or otherwise, and
2. the posting of their materials and information on or through the Ikigai Portfolio services does not violate the privacy rights, publicity rights, copyrights, contract rights, moral rights, intellectual property rights or any other rights of any person. Users agree to pay for all royalties, fees and any other monies owing to any person by reason of any content posted by them to or through the Ikigai Portfolio services.

Users understand that all materials and information publicly posted or privately transmitted through the Ikigai Portfolio website is the sole responsibility of the person from which such content originated and that Ikigai Portfolio shall not be responsible or liable for any errors or omissions in any content or any loss or damage of any kind incurred as a result of the use of, access to or denial of access to any content on this Website. 

The Ikigai Portfolio services contain content of users and other Ikigai Portfolio licensors and Users shall respect the intellectual property rights of others.

Ikigai portfolio may delete any content that in the sole judgement of Ikigai Portfolio violates these Terms or which may be offensive, illegal, violate the rights of, harm, or threaten the safety of any person.

Ikigai Portfolio assumes no responsibility for monitoring the Ikigai Portfolio services for inappropriate content or conduct and no obligation to modify or remove any inappropriate content and no responsibility for the conduct of the user submitting any such content. Ikigai portfolio may, at its sole discretion, monitor the Ikigai Portfolio service.

Users are solely responsible for the content and information shared in their post on or through any of the Ikigai Portfolio services. Ikigai Portfolio does not endorse and has no control over such content. Content is not necessarily reviewed by Ikigai Portfolio prior to posting and does not necessarily reflect the opinions or policies of Ikigai Portfolio.  Ikigai Portfolio makes no warranties, express or implied, as to the content or to the accuracy, integrity and reliability of the content or any material or information that any User transmits to other Users.

Because community standards vary and individuals sometimes choose not to comply with our policies and practices, in the process of using our Website, Users may be exposed to content that they find offensive or objectionable. You can contact our Customer Service Department at contact@ikigaiportfolio.com to let us know of content that you find objectionable.

Ikigai Portfolio may investigate the complaints and violations of its policies that come to its attention and may take any action that it believes is appropriate, including, but not limited to, issuing warnings, removing the content or terminating accounts and/or subscriptions. However, because situations and interpretations vary, Ikigai Portfolio also reserves the right not to take any action.

Users are permitted to print and download limited extracts from the Website for their own use provided that:

• No documents or related graphics on the website are modified in any way;
• No graphics on the website are used separately from corresponding text; and
• Ikigai Portfolio copyright and trademark notices and this permission notice appear in all copies.

1. Communication from and with Ikigai Portfolio

Ikigai Portfolio may need to communicate with Users via email in the course of providing them with its services. (See Ikigai Portfolio’s Privacy Policy to learn more about communications.) Users agree to receive emails, which are specific to their account and necessary for the normal functioning of the Ikigai Portfolio services, and to have their name listed in the header of certain communications, which they initiate through Ikigai Portfolio.

1. Submissions
   
   Visitor agrees as a condition of viewing, that any communication between Visitor and Website is deemed a submission. All submissions, including any data, queries, feedback, ideas, comments or suggestions shall become the exclusive property of the Website or its affiliates and may be used, without further permission, for commercial use without additional consideration of any kind.

Any communication or material that the User transmits to, or posts on, any public area of the website including any data, questions, comments, suggestions, or the like, is and will be treated as non-confidential and non-proprietary information. Ikigai Portfolio reserves the right to remove any such communication or material from the website at its own discretion. 

Users are responsible for maintaining the confidentiality of their account, and are fully responsible for all activities that occur under their account.

1. Monitoring
   
   Ikigai Portfolio shall have the right, but not the obligation, to monitor any activity and content associated with the website(s) and/or the services. Ikigai Portfolio may investigate any reported violation of these Conditions or complaints and take any action that it deems appropriate (which may include, but is not limited to, issuing warnings, suspending, terminating or attaching conditions to the User’s access to and/or removing any materials on the website(s) and/or the services.

1. NGO Listing
   
   Ikigai Portfolio Pvt Ltd reserves the right to list, deny listing, or delist any NGO on the IkigaiPortfolio.com website. Submission of documents and undergoing rating by an NGO does not in itself guarantee automatic listing. Ikigai Portfolio shall not be liable, directly or indirectly, to the NGO or any third party, as a consequence of listing, denying listing, or delisting of any NGO.

• Donations

Donations on Ikigai Portfolio can be made by members as well as non-members by clicking on the Donate buttons available throughout the platform and following the necessary steps.

Users can donate to selected beneficiaries/NGO partners on Ikigai Portfolio using a number of payment methods such as credit / debit cards, UPI, net-banking and e-wallets. Donations are processed by Razorpay which is one of the largest and secure payment gateways in India. 

All donations made through Ikigai Portfolio are non-refundable. Please contact our customer services at contact@ikigaiportfolio.com immediately if there are extenuating circumstances and your case may be reviewed at the sole discretion of Ikigai Portfolio.

In circumstances where a donation has been made on this website by the unauthorised use of a User’s payment details, then Ikigai Portfolio is required to refund the User such money provided that the User informs their financial institution and Ikigai Portfolio of the unauthorised payment as soon as possible.

The minimum amount that a User can donate through the Ikigai Portfolio platform is INR 500. 

All donations made by Users on the Ikigai Portfolio Platform go directly to the bank account of the NGO partner/beneficiary that was selected by the User for making the donation. 

There are various charges incurred when a User makes a donation - including charges by credit card companies, banks and payment service providers. These charges vary depending on many factors including User location, payment method and donation size and currency. These charges, in addition to applicable taxes, are borne by the User making the donation and are over and above the donation amount and paid directly to the payment service provider and/or the payment gateway. 

Ikigai Portfolio also charges the Users a nominal fee as a percentage of the donation amount as Ikigai Portfolio Management Charges (IPMC). This is over and above the donation amount and it is charges to cover the cost of services provided by Ikigai Portfolio to its Users making the donation, like reporting on usage, utilisation and impact created by the donation, providing data, information and analytics on NGOs and various social causes and themes, organising events and maintenance of digital platforms etc.   

Users acknowledge that any tax exemptions, if and as applicable, will be applicable only on the donation amount and not on the payment processing charges or on the IPMC. 

Ikigai Portfolio also charges a fundraising/fund mobilisation fee to its NGO partners as a percentage of donation funds mobilised for them.

The User will receive an online confirmation from the Payment gateway immediately after they make their donation which shall be considered as the receipt for that donation. Users must keep it for their records. The implications from a tax perspective of donating to a non-profit will vary from country to country, and donors should consult the relevant authorities in their own jurisdiction for guidance on these matters. The NGO partner that the User has chosen to make the donation to will be accountable for providing any documentation/ certificate of tax exemption, wherever applicable. Ikigai Portfolio, on receipt of such documentation/certificate from the NGO, will make available the soft copy of the same, in a printable and downloadable format, in the User’s dashboard, provided the User has signed up on the Ikigai Portfolio Platform. 

Users hereby acknowledge that Ikigai Portfolio has no control over the use of donations that are made to non-profits through this platform. While Ikigai Portfolio will make every effort to ensure that the non-profits use the donations only for the purpose for which they were made, Ikigai Portfolio cannot be held liable for the same. 

Ikigai Portfolio has the sole discretion to enlist/delist non-profit organisations in its provision of this facility. It reserves the right at any time from time to time to modify or discontinue, temporarily or permanently the donation facility with or without notice. Users agree that Ikigai Portfolio shall not be liable to them or any third party for any modification, suspension or discontinuation of the facility.

Donations made to a non-profit organisation will be given to that non-profit organisation only and no substitution of donations between non-profit organisations shall be permitted.

While availing any of the payment / donation / contribution method/s available on the Website, Ikigai Portfolio will not be responsible or assume any liability, whatsoever in respect of any loss or damage arising directly or indirectly to Users due to:

• Lack of authorization for any transaction/s, or
• Exceeding the preset limit mutually agreed by Users and between Users’ bank/s, or
• Any payment issues arising out of the transaction, or
• Decline of transaction for any other reason/s

Ikigai Portfolio is not responsible for any dissatisfaction that Users may have regarding the recipient organisation’s use of any donation they may make through the platform or its associated services or websites powered by Ikigai Portfolio. Please note that the recipient organisation reserves the right to use donations received from Users for its general purposes and Ikigai Portfolio cannot guarantee that funds will be earmarked for a particular social cause/theme/activity, unless specifically stated by the recipient organisation itself. Ikigai Portfolio will, through its agreement with its NGO partners, try to ensure that donations mobilised for the NGO partners through this platform are used solely for the purpose for which the donations were made. Ikigai Portfolio cannot however be held liable for any breach of the agreement by the NGO partners or for enforcing the same. 

Donations can be made anonymously by choosing the appropriate option while making the donation. The donor will still receive a receipt for his/her donation with the right name on the receipt but this will not be visible to others. If a donor donates anonymously, information about the donor can still be passed to non-profits. The donor is agreeing that their information may be used by the benefiting nonprofits so long as it complies with the relevant data protection legislation. 

Indian donors can make tax-deductible donations on the Ikigai Portfolio Platform by donating to eligible NGOs. Whether a donation to a particular NGO is eligible for tax exemption will be clearly marked next to the NGOs in the website, where the NGO is listed. Eligible non-profits provide a receipt for all successfully processed donations on Ikigai Portfolio. These receipts contain a Unique Reference Number that can be verified by Ikigai Portfolio and are provided to donors as evidence of their donation. Users acknowledge that the NGO partner that the User has chosen to make the donation to will be accountable for providing any documentation/ certificate of tax exemption, wherever applicable. Ikigai Portfolio, on receipt of such documentation/certificate from the NGO, will make available the soft copy of the same, in a printable and downloadable format, in the User’s dashboard, provided the User has signed up on the Ikigai Portfolio Platform. 

At present, only the donations made to Indian non-profits can receive tax benefits. Users must provide their PAN to ensure that they get tax benefits for their donations. 

The Donor agrees and declares that the Donor is aware that Ikigai Portfolio has no responsibility to verify the accuracy of any statement and/or information furnished by the Crowdfunding Partner/ NGO Partner pursuant to which the Donor has donated moneys(s) to any not for profit via Ikigai Portfolio on the Website.

The donor will be sent timely updates about the progress/status of the fund utilisation and impact created through the donation from both the not for profit and Ikigai Portfolio via SMS/Whatsapp and/or email. In case one wants to opt out of this service, they need to log into their Ikigai Portfolio profile and disable the communications for the same.

Through the Website, Donors may obtain access to certain information about the not for profit, including means of direct communication. Nothing in these terms shall be viewed as Ikigai Portfolio certifying that the information provided is unqualified, error-free, exhaustive and/ or warranted by Ikigai Portfolio. The Website affords Donors an opportunity to ask not for profits questions concerning the organisation or donations sought/fundraisers and otherwise test the soundness of any not for profit or its activities/interventions. While making a donation through the Website, the Donor shall conduct their independent due diligence with respect to any information/project/initiative/intervention listed by the not for profit before making any donations on the Website. Ikigai Portfolio shall not be responsible in any manner for any misrepresentation and/or false information that may be listed on the Website. The Donor should not rely on Ikigai Portfolio or its affiliates for the accuracy, completeness or adequacy of the information supplied on the Website. Moreover, Donors should note that neither Ketto nor any of its affiliates or employees track, represent or warrant that not for profits use the donated funds in the manner and for the purpose represented by them.

In the event a non –profit organisation in India is listed on the website, the Donor shall approach only the particular non- profit organisation in India for which the Donor has donated the money to track the utilisation of the funds or any other information that may be required by the Donor. The Donor hereby agrees and declares that the Donor is aware that Ikigai Portfolio shall at no point of time be held answerable or accountable for any money(s) once the funds donated have been handed over to the non-profit organisation in respect of which donations have been made.

• Anti-Money Laundering (AML) Policy

Ikigai Portfolio complies with the Anti-Money Laundering (AML) guidelines established by the Reserve Bank of India, vide its circular RPCD.RRB.RCB.AML.BC.No.02/07.51.018/2014-15 on 1 July, 2014 and updated from time to time. The guidelines include, but is not limited to, the following salient conditions:

Every recipient (Crowdfunding Partners/NGO Partners on Ikigai Portfolio) has to verify their identity per the Know Your Customer (KYC) in the guidelines. This will include verification of registered mobile number via a One Time Password (OTP), and one of the identification documents viz. Permanent Account Number, Aadhar Card Number, Passport etc. recognised by the Reserve Bank of India. The list of such registered documents will be updated on Ikigai Portfolio site, at its sole discretion, from time to time.

The verification will be essential to mobilise funds from Ikigai Portfolio platform, and may be asked by Ikigai Portfolio, at its sole discretion, during the course of the Crowdfunding Partner/NGO Partner’s membership on the platform. Failure to comply, may result in cancellation of their membership/registration, and the Crowdfunding Partner/NGO Partner will be liable to return the funds to donors in such a scenario.

The Crowdfunding Partners’/NGO Partners’ location as reflected on their Crowdfunding Partner page must match their legal residence/office that they submit to Ikigai Portfolio when they create an account and while funds are transferred to them from the platform by way of donations. Failure to adequately fulfil stated obligations may result in Ikigai Portfolio removing the Crowdfunding Partner/NGO Partner and seeking reimbursement of funds raised, including by using third-party collections services.

Crowdfunding Partners/NGO Partners are responsible for collecting and remitting any taxes on Contributions, and any taxes due in connection with Crowdfunding Partners/NGO Partners. 

All donations on the platform by the Donors are transferred through the payment gateway directly to the Crowdfunding Partners’/NGO Partners’ bank account, as chosen by the Donors. The Crowdfunding Partners/NGO Partners shall be solely responsible for any taxes or regulations related to such contributions. Ikigai Portfolio shall not be liable in any way for any taxes or other regulatory requirements in connection to such contributions.  

Taxing authorities may classify funds raised on the Services as taxable income to the Crowdfunding Partner/NGO Partner and any beneficiary who will receive funds directly from the applicable funds mobilised. Ikigai Portfolio will ask for the personal account number / tax identification number (PAN) of Crowdfunding Partners/NGO Partners and any beneficiaries so that it may report taxable income to the relevant taxing authorities.

For contributors on www.ikigaiportfolio.com, only standard channels of payment - verified credit or debit cards, netbanking, cheque, or cash (upto limits allowed by the RBI) - will be allowed. In case of cash payments, all payments above INR 24,999 have to be furnished with the Permanent Account Number of the contributor.

Recipients (Crowdfunding Partners/NGO Partners, whether individuals or organisations) will comply with foreign exchange rules as explained by the Foreign Exchange Management Act of the RBI & FCRA guidelines. The recipient, if an individual or a non-government organisation, also understands that it needs to comply with FCRA guidelines by applying for an FCRA certificate and inform the Central Government in Form FC-1 within thirty days from the date of receipt of such contribution whenever applicable. 

The recipients acknowledge and agree that Ikigai Portfolio does not verify this information and it’s the responsibility of the recipient to procure the necessary approvals and do the necessary compliance before they agree to receive foreign funds through the platform. By asking to allow mobilisation of the foreign funds it is understood by Ikigai Portfolio that the recipient has completed the necessary documentation.

AML policies will be updated from time to time at the sole discretion of Ikigai Portfolio.

• Member Disputes

Users are solely responsible for their interactions with other Ikigai Portfolio Users. Ikigai Portfolio reserves the right, but has no obligation, to monitor disputes between Users.

• Termination

Users agree that Ikigai Portfolio may, with or without cause and/or prior notice, immediately terminate the Users’ Ikigai Portfolio account and their access to any Ikigai Portfolio services. Without limiting the foregoing, the following may lead to a termination by Ikigai Portfolio of a User’s use of the its services: (a) breaches or violations of these Terms or other incorporated Ikigai Portfolio agreements or guidelines, (b) requests by law enforcement or other government agencies, (c) a request by the User, (d) unexpected technical issues or problems or (e) extended periods of inactivity.

Termination of a User’s Ikigai portfolio account includes removal of access to all offerings within the Ikigai Portfolio services and may also bar the User from further use of the Ikigai Portfolio services. Furthermore, Users agree that all terminations shall be made at Ikigai Portfolio’s sole discretion and that Ikigai Portfolio shall not be liable to any User nor any third party for any termination of any User account or access to the Ikigai Portfolio service.

1. Electronic Delivery, Notice Policy and Users’ Consent

By using the Site, Users consent to receive from Ikigai Portfolio, all communications including notices, agreements, legally required disclosures, or other information in connection with the Site (collectively, “Contract Notices”) electronically. Ikigai Portfolio may provide the electronic Contract Notices by posting them on the Site. If any Users desire to withdraw their consent to receive Contract Notices electronically, they must discontinue their use of the Site. This agreement and each Terms of Use shall be governed by and constructed in accordance with the laws of India without reference to conflict of laws, principles and disputes arising in relation hereto shall be subject to the exclusive jurisdiction of the courts of New Delhi.

1. New Not for Profit Membership (New NGO Partnership/Crowdfunding Partnership)

Any non-profit that meets Ikigai Portfolio’s selection criteria and passes its due diligence can register to raise funds on Ikigai Portfolio. Not for Profits may apply by visiting the non-profit membership section of the website. 

Selection criteria will be determined by Ikigai Portfolio at its sole discretion and may be verbal or written. Ikigai Portfolio has the right to add, remove, change or modify, in part or in full, any one or more of the selection criteria at any time, with or without prior notice. Granting membership to any not for profit will be at the sole discretion of Ikigai Portfolio and it may choose not to grant membership to any not for profit irrespective of whether or not it meets the selection criteria and/or passes its due diligence. 

Ikigai Portfolio may also ask not for profits to fill one or more forms (online or in hard copy), submit any documents/certificates/licences or their copies, any other information or lists and/or agree to cooperate with any onsite due diligence processes as part of its member onboarding and due diligence process. Ikigai Portfolio may also charge a joining, onboarding, annual or any other fee as determined by it from time to time.    

1. General
   
   Nothing contained in this Terms of Use is in derogation of Ikigai Portfolio's right to comply with Governmental, Court and Law enforcement requests or requirements relating to use of this Web site, Service or information provided to or gathered by Ikigai Portfolio with respect to such use.

These Terms of Use constitute the entire agreement between the User and Ikigai Portfolio with respect to this Web site and the Services provided by Ikigai Portfolio.
If the User violates any term of this Terms of Use, Ikigai Portfolio may terminate the Users access to this Web -Site, without waiving any other rights. The User would continue to remain liable for any liabilities that may have arisen before the termination.

If there is any conflict between these Terms and Conditions and rules and/or specific terms of use appearing on the Website relating to specific material then the latter shall prevail.

These Terms (together with any New Terms) which incorporates the Ikigai Portfolio, Donation Policy and the Crowdfunding partner Agreement for the Non-profit Member (and any future amendments of such policies/agreements) constitutes the entire agreement between the User and Ikigai Portfolio regarding the use of the services of Ikigai Portfolio website.

The failure of Ikigai Portfolio to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision.

These Terms operate to the fullest extent permissible by law. If any provision of these Terms is unlawful, void or unenforceable, that provision is deemed severable from these Terms and does not affect the validity and enforceability of any remaining provisions. These Terms are personal to Ikigai Portfolio and its Users. 

Users may not assign, notate, sub-contract or otherwise transfer its part or all of these Terms, without the prior written consent of Ikigai Portfolio.

Nothing in these Terms shall create or be deemed to create a partnership, joint venture or relationship of employer and employee of any kind between Ikigai Portfolio and any, a group of or all of its Users.

Ikigai Portfolio shall not be liable for delay or failure to perform any of its obligations under these Terms where and to the extent that such delay or failure results from any circumstances beyond its reasonable control.

Solely to enable Ikigai Portfolio to use the information, Users assign to Ikigai Portfolio rights that Users might have in their information; Users agree to grant Ikigai Portfolio a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sub-licensable (through multiple tiers) right to exercise the copyright, publicity, database rights or any other rights they have in their information, in any media now known or not currently known, with respect to their Information. Ikigai Portfolio shall have the right to remove or edit any content that in its sole discretion that violates, or is alleged to violate, any applicable law or either the spirit or letter of these Terms of Use. Notwithstanding this right, USERS REMAIN SOLELY RESPONSIBLE FOR THE CONTENT OF THE MATERIALS THEY POST ON THE WEBSITE AND IN THEIR PRIVATE MESSAGES TRANSMITTED VIA THE WEBSITE. Please be advised that such Content posted does not necessarily reflect Ikigai Portfolios views. In no event shall Ikigai Portfolio assume or have any responsibility or liability for any Content posted or for any claims, damages or losses resulting from use of Content and/or appearance of Content on the Website. The provisions of this Terms and Conditions shall be governed by, and construed in accordance with Indian law, and any dispute, controversy or claims arising out of or relating to this agreement or any breach, termination or invalidity thereof, shall be settled by arbitration in accordance with the Indian Arbitration and Conciliation Act, 1996. The jurisdiction of this agreement shall be Delhi NCR.
